Client Consultation Contract

GENERAL PURPOSE

By this contract, you engage Chien Associates LLC or Value Growth Institute (“Advisor”), to provide general business strategy, management or guidance including but not limited to:

  • A review of your current business financial statements or
  • The discussion of a generic business direction, not involving any specific strategic recommendations or
  • Review a new or current issue regarding a portion of your plan pertaining to one or more of the following:
    • Company Wealth Map (CWM)
    • PROFITS MATTER®, a 1-Year Growth Action Plan (1GAP)
    • COO/CFO/CIO Services
    • Business strategy CWM or 1GAP Implementation

After careful review of the materials relevant to the categories selected above, the Advisor will provide a consultation that will reflect your current business financial circumstances, your financial outlook, and your objectives.

LIMITATION OF SERVICES

You understand that the services provided by Advisor pursuant to this Contract are limited to the advice given and information discussed during the meeting.

The services of Advisor under this Contract do not include any legal, accounting or other professional services, and Advisor recommends that you consult with your attorney, accountant and other pertinent advisors before implementing any advice or strategy suggested by Advisor.

COMPENSATION TO ADVISOR FOR CONSULTATION SERVICES

For the consultation services described above, you agree to pay a fee per your monthly subscription agreement.

All works begins until we received the payment from The Client.

ASSUMPTIONS AND REQUIREMENTS

The client is to be available for all planning sessions as scheduled. Whenever the associates or employees are required to be at the meeting, the client is to coordinate their attendance. Any no-show will not be refunded for the time and labor of the consultant per agreement.

METHOD, DELIVERABLES, RESPONSIBLE PARTIES, STEPS AND TIMELINE

The entire consulting project has eight steps, see below. Each step may require client participation and availability for questions and answers. The steps here is a high level summary of the planning process. All dates are subject to availability of client and consultant’s further coordination

GUARANTEE

The sample format of the deliverable is available on IBM/LotusLive secured file storage. The client will receive ID and Password to access this upon receipt of the payment.

REPORTING

All status and documentation is stored on-line via our IBM/LotusLive secured site. It is the client’s responsibility to activate the account to access any documentation about the project.

Weekly status report is due at the end of each Friday during the project timeframe. The consultant will communicate the link of the status report via IBM/LotusLive. The client has full access to all documentations such as files, activities and status reports.

The client can identify any team members (employees, associates of the client) to have access to the IBM/LotusLive system. The consultant will invite them into the system per client’s required security level such as “reader” or “author.”

CONTINUED CORRESPONDENCES

If any changes occur during the project regarding the scope, deliverables, cost or methods to be used, an update of the consultant Agreement or contract document will be sent or delivered to client. No work will be provided until client’s approval.

ENTIRE AGREEMENT; AMENDMENT; NOTICES

This Agreement constitutes the entire agreement between us. It may be amended only by a written Agreement signed by the client and by an officer of consultant. All notices and other communications hereunder shall be in writing.

VALIDITY

If any part of this Agreement is found to be invalid or unenforceable, it will not affect the validity or enforceability of the remainder of this Agreement.

CONFIDENTIALITY

Consultant agrees that it will not release any personal, business or other information provided by you to any person, firm, corporation or other entity other than authorized employees and representatives of consultant or its affiliates, except upon written authority from you or upon direction of a court of law or other government authority. Consultant agrees to store information in such a way as to preclude access by unauthorized persons.

INTELLECTUAL PROPERTY

All intellectual property of the designs delivered belongs to the client. This may include copyright and patent.
